1. Agreement to Terms

By accessing and using FleetOn.Cloud ("FleetOn," "we," "us," or "our") services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

FleetOn provides comprehensive fleet management services for Uber vehicles, including but not limited to driver recruitment, vehicle maintenance coordination, payment processing, and performance analytics.

2. Service Description

FleetOn offers professional fleet management services including:

  • Vehicle registration and Uber platform onboarding
  • Professional driver recruitment, screening, and management
  • Maintenance scheduling and coordination
  • Insurance coordination and compliance management
  • Payment processing and financial reporting
  • 24/7 customer support and roadside assistance coordination
  • Performance analytics and optimization

Our services are designed to maximize your fleet's earning potential while minimizing your operational involvement.

3. Fees and Payment Terms

Management Fees:

  • Standard Fleet (UberX/UberGo): 8% of weekly gross earnings
  • Premium Fleet (Uber Black/Van): 6% of weekly gross earnings
  • Fees are calculated weekly based on your vehicle's gross earnings from the Uber platform
  • No earnings in a given week means no management fees for that week
  • Fees are automatically deducted before your weekly payout
  • No setup fees, registration fees, or hidden charges
  • Payment processing fees may apply for certain payment methods

4. Client Responsibilities

As a FleetOn client, you agree to:

  • Provide accurate and complete information about your vehicles and business
  • Maintain valid vehicle registration, insurance, and all required documentation
  • Ensure vehicles meet Uber's platform requirements and local regulations
  • Respond promptly to requests for information or documentation
  • Notify FleetOn immediately of any vehicle incidents, accidents, or legal issues
  • Comply with all applicable laws and regulations
  • Pay all applicable fees in accordance with these Terms

5. Service Limitations and Disclaimers

While FleetOn strives to maximize your fleet's performance, we cannot guarantee specific earnings or results. Factors affecting earnings include but are not limited to:

  • Market demand and competition
  • Uber platform changes and policies
  • Driver performance and availability
  • Vehicle condition and maintenance requirements
  • Local regulations and restrictions
  • Economic conditions and external factors

FleetOn is not responsible for Uber platform decisions, policy changes, or account suspensions that may affect your earnings.

6. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination:

  • FleetOn will assist with the transition of fleet management responsibilities
  • All outstanding fees and expenses will be settled
  • Access to FleetOn's management platform and services will be discontinued
  • Vehicle ownership and Uber account control will be transferred back to you
  • No termination fees or penalties apply

7. Limitation of Liability

FleetOn's liability is limited to the management fees paid in the 12 months preceding any claim. We are not liable for:

  • Lost profits or indirect damages
  • Vehicle damage not covered by insurance
  • Driver-related incidents or accidents
  • Uber platform policy changes or account issues
  • Force majeure events beyond our reasonable control

8. Governing Law

These Terms are governed by the laws of the jurisdiction where FleetOn is incorporated. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
